1. Acceptance of Terms

Any dispute, controversy, or claim arising out of or relating to these Terms of Use, including the breach, termination, or validity thereof, shall be finally settled by arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Milford, Delaware. You hereby expressly waive any and all jurisdictional and venue defenses that might otherwise be available under applicable law. The award rendered by the arbitrator(s) shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.

 

11. Miscellaneous

11.1 Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

11.2 Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Happy Place to Work with respect to the use of the Site and supersede all prior or contemporaneous communications and agreements.

 

11.3 Waiver

Any failure by Happy Place to Work to enforce any provision of these Terms of Use shall not be deemed a waiver of such provision or the right to enforce it.

 

11.4 Assignment
